Buying a company is a significant challenge for the buyer and the buyer’s management, as they have to review and understand the operations of the target company within a limited, sometimes within a short period of time, and assess the possible risks, determine how to manage them, and make many decisions as a result of taking over the operation of the target company.
If the buyer is considering a business for sale in its own industry, then, as a strategic buyer, it naturally has some advantage over financial investors that do not necessarily know the industry closely. However, this does not avoid the need even for a strategic buyer to get to know the operation of the target company in the necessary depth, also considering that it can often significantly differ from that of the buyer in its details, despite both being in the same industry.
Moreover, it is often the case that it is the management of a strategic investor that, in addition to managing the investor itself, does not have sufficient free capacity that can be reassigned for the purposes of the acquisition.

Of course, the use of a M&A consultant on the buyer’s side does not imply an obligation for the buyer to complete the transaction and to take over the target company, since, for example, the due diligence phase may reveal risks and obligations, or there may be differences in the pricing expectations that cannot be overcome.

Often times the decision for business owners to sell their companies is not made easily, and is, thus, not a quick decision to be made, but rather the result of a longer process. Many times they first approach us just to have a chat to see how the company sale process would look like, also trying to get a feel how much their company would be in demand. Often these chats are made months before the business owners make the decision to start the actual sale process. These chats also usually bring up the question if we happen to already know somebody that is looking for a company like theirs. In this regard it can be very helpful to know what the buy side is looking for, as it can help business owners to make their decision if they know there is already a potential buyer out there for their company, thus they may not need to go through the process of publishing an ad and then waiting for inquiries. At the same time, it can also help the buy side in the sense that they may not need to browse through ads regularly waiting for an ad to suddenly appear. In this sense it can potentially speed up the transaction process for both sides.

From the point of view of the potential acquisition target, the two extremes are where the business owner has already put up for sale the company, and where the owner definitely does not want to sell the business at the moment. Our experience is that there is a significant transition area between these two extremes, thus there is a wide gray area, where the, for example it has already occurred to the business owner to retire or to sell or to attract a strategic or financial investor, and where, accordingly, the business owner is willing to consider selling the business or a share in the business, the business owner receives a sufficiently good offer.
