Adequit is a leading business sale marketplace in Hungary, where typically dozens of enterprises for sale are available in the small and mid-sized market.
Adequit provides both sell and buy side transaction advisory services, though, in any given transaction we advise only one of the sides.

The ads are currently in Hungarian on the Adequit portal, but we are happy to let you know if there are businesses for sale in our current portfolio that could be of interest for you, if you are considering buying an enterprise in Hungary.
Standard company sale platform
The Standard company sale platform within the Adequit portal focuses on the smaller businesses for sale. As such, the commission payable by sellers includes the provision of M&A services appropriate to the needs of smaller companies for sale in order to make professional transaction advisory services available to such smaller companies as well. In addition, the smallest businesses for sale have opportunity to upload their ads for a nominal fee without additional sell side services.
Private company sale platform
The Private company sale platform within the Adequit portal focuses on the mid-sized businesses for sale. As such, ads are accessible on this platform only following registration to make it less likely that business partners and employees become aware of the intention to sell too early.
Buy side transaction advice
Whether the buyer is considering an acquisition target in or outside of its own industry, whether the buyer is a financial or a strategic investor, an M&A advisor that can guide the buyer through the initial steps of the sale and purchase, and, if a deal is made between the seller and the buyer, then until the closing of the company purchase, can provide great value in the acquisition process.
Due diligence of target
Transaction advisory services can assist you in multiple areas, such as the due diligence of the acquisition target.
Buying a company is a significant challenge for the buyer and the buyer’s management, as they have to review and understand the operations of the target company within a limited, sometimes within a short period of time, and assess the possible risks, determine how to manage them, and make many decisions as a result of taking over the operation of the target company.
If the buyer is considering a business for sale in its own industry, then, as a strategic buyer, it naturally has some advantage over financial investors that do not necessarily know the industry closely. However, this does not avoid the need even for a strategic buyer to get to know the operation of the target company in the necessary depth, also considering that it can often significantly differ from that of the buyer in its details, despite both being in the same industry.
Moreover, it is often the case that it is the management of a strategic investor that, in addition to managing the investor itself, does not have sufficient free capacity that can be reassigned for the purposes of the acquisition.

Often times the decision for business owners to sell their companies is not made easily, and is, thus, not a quick decision to be made, but rather the result of a longer process. Many times they first approach us just to have a chat to see how the company sale process would look like, also trying to get a feel how much their company would be in demand. Often these chats are made months before the business owners make the decision to start the actual sale process. These chats also usually bring up the question if we happen to already know somebody that is looking for a company like theirs. In this regard it can be very helpful to know what the buy side is looking for, as it can help business owners to make their decision if they know there is already a potential buyer out there for their company, thus they may not need to go through the process of publishing an ad and then waiting for inquiries. At the same time, it can also help the buy side in the sense that they may not need to browse through ads regularly waiting for an ad to suddenly appear. In this sense it can potentially speed up the transaction process for both sides.

The decision to sell a company is often not made easily by the business owners. There may be a business owner out there that is already thinking of selling their business, and how it can be done, but has not made any formal steps in this regard. For such business owners it can be very helpful to know that there is already a potential buyer out there, and the prospect of a potentially quick and easy sale may provide the final argument for them to make the decision to sell.

Active search for an investment target
We can carry out an active search for acquisition targets on the basis of your investment or acquisition criteria among companies that have not yet been put up for sale by their owners.
In such a case, we search for acquisition targets outside of our existing portfolio on the basis of criteria as agreed with you.
Reasons for an active search
This can be a useful solution if, for example:
- you would expand your business by acquisitions in your own industry or sector
- you would expand your operations to an industry that is related to your existing operations
- as a foreign investor, you would enter the Hungarian market or buy a market share by acquiring a local company
- you would diversify your activities by acquiring companies in a new industry
- you would avoid the risk associated with founding a new company, by taking over an existing and operating business.
The gray area
From the point of view of the potential acquisition target, the two extremes are where the business owner has already put up for sale the company, and where the owner definitely does not want to sell the business at the moment. Our experience is that there is a significant transition area between these two extremes, thus there is a wide gray area, where the, for example it has already occurred to the business owner to retire or to sell or to attract a strategic or financial investor, and where, accordingly, the business owner is willing to consider selling the business or a share in the business, the business owner receives a sufficiently good offer.
Increase the attractiveness of the offer
Depending on the circumstances, several factors can increase the attractiveness of the offer, such as if the investor:
- in the first step, the investor does not take over the entire company, but only buys a shareholding in the company; in this way, the seller immediately receives a significant amount as a selling price, but does not have to leave the company he founded, while, from the buyer’s perspective, this solution can ensure the smooth operation of the company
- in addition to buying an interest in the company, you would also invest capital in the company’s business, thus ensuring the future expansion of the target, and/or
- the investor can bring in new customers, or orders to the company.
No names
An additional advantage is that, if you are using us as an intermediary, the acquisition target does not need to immediately know the name of the potential buyer.
